Software License Agreement

JobForge Software License

This Software License Agreement ("Agreement") is between JobForge, Inc. ("Licensor") and you ("Licensee"). By using JobForge, you agree to be bound by the terms of this Agreement.

1. Grant of License

Subject to the terms of this Agreement and payment of applicable fees, Licensor grants Licensee a non-exclusive, non-transferable, revocable license to access and use JobForge solely for Licensee's internal business purposes.

2. Restrictions

Licensee shall not:

  • Copy, modify, or create derivative works of JobForge
  • Reverse engineer, disassemble, or decompile any part of JobForge
  • Rent, lease, lend, sell, sublicense, or transfer JobForge
  • Use JobForge to build a competitive product or service
  • Remove or alter any proprietary notices or labels
  • Use JobForge for any unlawful purpose

3. Ownership

JobForge and all associated intellectual property rights remain the exclusive property of Licensor. This Agreement does not convey any ownership rights to Licensee.

4. User Data

Licensee retains all rights to data entered into JobForge. Licensor will not access Licensee's data except as necessary to provide services or as required by law.

5. Warranty Disclaimer

JOBFORGE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

6. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION.

7. Term and Termination

This Agreement is effective upon first use of JobForge and continues until terminated. Either party may terminate this Agreement at any time. Upon termination, Licensee must cease all use of JobForge.

8. Governing Law

This Agreement shall be governed by the laws of the State of New York, without regard to its conflict of law provisions.
